These Terms of Service (“Terms”) govern your access to and use of the NexApp mobile application, website, and related services, collectively referred to as the “Services.”

These Terms form a legally binding agreement between you and NexApp (“NexApp,” “we,” “us,” or “our”).

By downloading, installing, accessing, purchasing through, creating an account for, or otherwise using the Services, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Services.

1. Acceptance of Terms

By using NexApp, you agree to comply with these Terms and all applicable laws and regulations.

If you use NexApp on behalf of a company, organization, or another person, you confirm that you have the authority to accept these Terms on their behalf. In that case, the words “you” and “your” include that person or organization.

We may provide additional terms for particular features, subscriptions, promotions, beta programs, or services. Those additional terms become part of your agreement with us when you use the relevant feature.

If additional terms conflict with these Terms, the additional terms will apply only to the feature or service they address.

Your use of NexApp may also be subject to the rules and terms of the platform from which you downloaded the app, including the Apple App Store or Google Play.

For apps downloaded through Apple, Apple’s Standard End User License Agreement may apply where NexApp does not provide a separate custom license agreement.

2. Eligibility

You must be at least 13 years old, or the minimum age required to use digital services in your country, to use NexApp.

If you have not reached the legal age of majority where you live, you may use the Services only with the permission and supervision of a parent or legal guardian.

By using NexApp, you confirm that:

  • You are legally capable of entering into these Terms.

  • You have provided accurate information.

  • You are not prohibited from using the Services under applicable law.

  • Your use of NexApp will not violate any law, regulation, court order, or contractual obligation.

  • You will comply with applicable recording, privacy, copyright, and consumer-protection laws.

Parents and legal guardians are responsible for the use of NexApp by minors under their supervision, including purchases, subscriptions, recordings, and account activity.

We may restrict access to certain features based on age, location, device, subscription plan, or legal requirements.

3. About NexApp and Safety

NexApp is a general wellness and lifestyle application designed to support sleep, focus, relaxation, and quieter daily routines.

Features may include:

  • White, pink, and brown noise

  • Nature and ambient sounds

  • Custom sound mixing

  • Favorites and playlists

  • Offline and background playback

  • Sleep timers

  • Fade-out controls

  • Fade-in alarms

  • Saved bedtime routines

  • A bedside night clock

  • Personal sound recording

  • Trimming and looping tools

Not medical advice

NexApp is not a medical device and does not provide medical advice, diagnosis, treatment, therapy, or emergency assistance.

We do not guarantee that NexApp will improve sleep, concentration, stress, anxiety, health, or wellbeing.

You should consult a qualified healthcare professional regarding sleep disorders, hearing concerns, mental-health conditions, or other medical issues.

Hearing safety

You are responsible for choosing a safe and comfortable listening volume. Prolonged exposure to loud audio may affect your hearing.

Stop using the app and seek professional advice if you experience pain, discomfort, ringing in the ears, dizziness, or changes in hearing.

Alarms and timers

Alarms, timers, and notifications may be affected by:

  • Device volume

  • Battery level

  • Power-saving settings

  • Notification permissions

  • Silent or Do Not Disturb modes

  • Operating-system restrictions

  • Background-app settings

  • Device failure

  • App updates

Do not rely on NexApp as your only alarm for emergencies, medication, flights, examinations, work obligations, medical appointments, or other time-sensitive situations where a missed alert could cause harm or significant loss.

Situational awareness

Do not use NexApp at a volume or in a manner that prevents you from hearing traffic, emergency signals, warning sounds, or people around you.

Do not use the Services while driving, cycling in traffic, operating machinery, or performing another activity that requires your full attention.

4. Accounts

Some NexApp features may require an account.

When creating or using an account, you agree to:

  • Provide accurate and current information.

  • Keep your login credentials confidential.

  • Maintain control of the email address connected to your account.

  • Protect your device against unauthorized access.

  • Notify us promptly if you suspect unauthorized activity.

  • Accept responsibility for activity performed through your account.

You may not:

  • Create an account using another person’s identity.

  • Impersonate another person or organization.

  • Sell, rent, transfer, or share your account.

  • Use automated systems to create accounts.

  • Access or attempt to access another user’s account.

  • Circumvent account, device, or subscription restrictions.

If you sign in using Apple, Google, or another third-party provider, your use of that sign-in service is also governed by the provider’s terms.

We may temporarily restrict an account when we reasonably believe it has been compromised, is being used fraudulently, or presents a security risk.

Certain features may be available without an account. Data created during guest use may remain stored only on your device and may be permanently lost if you uninstall NexApp, clear app data, reset your device, or move to a different device.

5. Personal Recordings and User Content

NexApp may allow you to record, trim, loop, save, synchronize, export, or share audio and other content.

You retain ownership of content you create.

You are solely responsible for your recordings and for ensuring that you have the legal right and all necessary permissions to create, store, upload, or share them.

You must not use NexApp to:

  • Secretly or unlawfully record private conversations.

  • Record a person without legally required consent.

  • Violate privacy, surveillance, or wiretapping laws.

  • Record or distribute copyrighted material without permission.

  • Capture confidential information without authorization.

  • Store illegal, harmful, threatening, or abusive material.

  • Infringe another person’s intellectual-property or privacy rights.

Recording and consent laws vary between countries and regions. NexApp does not determine whether a recording is lawful in your location.

When you upload content for cloud backup, synchronization, processing, or sharing, you grant NexApp a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, back up, and technically process that content solely as necessary to provide the Services.

This license does not give NexApp ownership of your personal recordings.

The license ends when your content is deleted from our active systems, subject to reasonable backup, security, legal, and technical-retention periods.

You are responsible for keeping independent copies of important recordings. We do not guarantee that user content can always be recovered.

6. Acceptable Use

You may use NexApp only for lawful, personal purposes unless we expressly authorize another use.

You agree not to:

  • Violate applicable laws or regulations.

  • Use the Services to harass, threaten, exploit, or harm another person.

  • Upload malware, viruses, malicious scripts, or harmful code.

  • Interfere with the operation, security, or availability of NexApp.

  • Attempt to gain unauthorized access to accounts, servers, networks, or data.

  • Circumvent subscriptions, paywalls, geographic restrictions, or feature limitations.

  • Reverse engineer, decompile, disassemble, or attempt to extract source code.

  • Scrape, crawl, index, or collect data through unauthorized automated means.

  • Copy or extract the NexApp sound library.

  • Redistribute, sell, sublicense, or publicly host sounds from NexApp.

  • Use NexApp sounds in films, games, podcasts, advertisements, products, or commercial media without written authorization.

  • Remove copyright, trademark, or attribution notices.

  • Use the Services to develop or train a competing product or sound library.

  • Overload, disrupt, or damage our systems.

  • Misrepresent your relationship with NexApp.

  • Use the Services for fraud or deceptive activity.

We may investigate suspected misuse and may preserve or disclose relevant information where required by applicable law or a valid legal request.

7. Intellectual Property and App License

NexApp and its licensors own all rights, title, and interest in the Services, except for user content.

Protected materials include:

  • Application software

  • Source and object code

  • Interface and interaction design

  • NexApp branding and logos

  • Written content

  • Graphics and icons

  • Sound recordings

  • Sound libraries

  • Curated sound mixes

  • Artwork and photography

  • Documentation

  • Website content

These materials are protected by copyright, trademark, trade-secret, and other intellectual-property laws.

Subject to your compliance with these Terms, NexApp grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the app on devices you own or control.

This license does not permit you to:

  • Resell or redistribute the app.

  • Make the app available over a shared network.

  • Modify or create derivative versions.

  • Extract or redistribute audio files.

  • Use NexApp content for commercial production.

  • Transfer your license to another person.

  • Use NexApp branding without permission.

The app and its content are licensed, not sold. Apple’s minimum app-license terms similarly provide for a limited, non-transferable license on devices owned or controlled by the user. Apple

All rights not expressly granted under these Terms are reserved by NexApp and its licensors.

8. Free and Premium Features

NexApp may provide both free and paid features.

Free access may include:

  • A limited selection of sounds

  • Basic playback

  • Limited custom mixes

  • Standard timers

  • Selected routines

  • Limited offline content

Premium access may include:

  • The complete sound library

  • Unlimited custom soundscapes

  • Offline downloads

  • Advanced timers and alarms

  • Saved bedtime routines

  • Higher-quality audio

  • Personal recording tools

  • Cloud synchronization

  • Additional customization options

  • Other features described on the purchase screen

The availability and exact scope of free and premium features may change over time.

We may introduce new plans, discontinue features, modify usage limits, or move certain features between free and paid plans. We will not remove access to an active paid entitlement without a valid reason or where prohibited by applicable law.

Promotional offers may be limited by account, device, territory, payment method, or previous subscription history.

Prices, included features, billing periods, and eligibility conditions will be displayed before you complete a purchase.

9. Subscriptions, Trials, Cancellation, and Refunds

NexApp may offer weekly, monthly, annual, or other recurring subscriptions.

Automatic renewal

Unless otherwise stated at checkout, subscriptions automatically renew at the end of each billing period until cancelled.

Your app-store or payment account will be charged the price shown at purchase, together with applicable taxes.

Google Play describes auto-renewing plans as providing continuing access with automatic charges at the end of each billing period until cancellation. Google Help

Free trials

A free trial or introductory offer may automatically convert into a paid subscription unless cancelled before the trial period ends.

Trial eligibility may be limited to new or qualifying users. Creating additional accounts does not guarantee additional trial eligibility.

Managing or cancelling a subscription

Subscriptions purchased through the Apple App Store must be managed through your Apple account or App Store subscription settings. Apple allows users to view and manage auto-renewable subscriptions through their App Store account settings. Apple Developer

Subscriptions purchased through Google Play must be managed through Google Play.

Deleting your NexApp account or uninstalling the app does not automatically cancel a subscription.

Cancellation normally prevents the next renewal. Access generally continues until the end of the billing period you already paid for. Google Play states that cancellation usually takes effect after the current billing period, although local law may provide additional rights. Google Help

Refunds

Purchases made through Apple or Google are generally subject to the refund rules and decisions of the relevant platform.

NexApp cannot guarantee a refund for a transaction processed exclusively by an app store.

Google Play notes that most purchases are not automatically refundable, although exceptions may apply under its refund policies and applicable law. Google Help

Nothing in these Terms limits refund or cancellation rights that cannot legally be excluded in your country.

Price changes

Subscription prices may change. Where required, the app store or NexApp will provide notice before a new price applies.

You may cancel before the changed price takes effect.

10. Service Availability, Updates, and Third Parties

We work to keep NexApp available and reliable, but we do not guarantee uninterrupted or error-free access.

The Services may be temporarily unavailable because of:

  • Maintenance

  • Technical problems

  • Server outages

  • Device or operating-system limitations

  • Network failures

  • Security incidents

  • Third-party service interruptions

  • Events beyond our reasonable control

We may release updates to improve performance, security, compatibility, accessibility, or functionality.

Some updates may be required to continue using NexApp. Older app versions, devices, or operating systems may stop being supported.

We may modify, add, suspend, or discontinue features. Where reasonable, we will provide notice of material changes that substantially affect paid access.

NexApp may rely on or link to third-party services, including:

  • Apple App Store

  • Google Play

  • Cloud-storage providers

  • Authentication providers

  • Analytics services

  • Customer-support tools

  • Payment processors

  • Social platforms

Third-party services operate under their own terms and privacy policies. NexApp is not responsible for their availability, pricing, content, security, or independent data practices.

11. Privacy

Our Privacy Policy explains how we collect, use, store, protect, and share information in connection with NexApp.

By using the Services, you acknowledge that information may be processed as described in the Privacy Policy.

Depending on the features you use, NexApp may request access to:

  • Microphone

  • Notifications

  • Local storage

  • Network connectivity

  • Device and diagnostic information

Microphone access is used only when you choose to use audio-recording features.

You can manage app permissions through your device settings. Disabling a permission may prevent the related feature from working.

You may request access to, correction of, or deletion of eligible personal information by contacting:

You may request account deletion through the app settings, where available, or by contacting us.

Deleting an account does not automatically cancel subscriptions purchased through Apple, Google, or another billing provider.

Certain transaction, security, fraud-prevention, or legal records may be retained after account deletion where permitted or required by law.

12. Disclaimers and Limitation of Liability

To the maximum extent permitted by applicable law, NexApp is provided on an “as is” and “as available” basis.

We do not guarantee that:

  • The Services will always be available.

  • Playback will always be uninterrupted.

  • NexApp will improve sleep, focus, or relaxation.

  • Every sound will meet your preferences.

  • Alarms, timers, or notifications will always activate.

  • Recordings or saved content will never be lost.

  • Cloud synchronization will always be immediate.

  • The Services will work with every device or operating system.

  • All defects or errors will be corrected.

  • The Services will be free from security threats.

To the maximum extent permitted by law, NexApp and its owners, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes loss or damage arising from:

  • Lost recordings or data

  • Missed alarms or notifications

  • Service interruption

  • Device malfunction

  • Unsafe listening volume

  • Unauthorized account access

  • Subscription or payment issues

  • Reliance on wellness-related content

  • Loss of profits, opportunities, or goodwill

Where liability cannot legally be excluded, NexApp’s total aggregate liability relating to the Services will not exceed the greater of:

  • The amount you paid to NexApp during the 12 months before the event giving rise to the claim; or

  • USD $50.

These limitations do not apply to liability that cannot be excluded or limited under applicable law.

Nothing in these Terms limits mandatory consumer-protection rights.

13. Suspension, Termination, and Changes

You may stop using NexApp at any time.

You may delete your account through the app settings, where available, or by contacting us.

We may suspend, limit, or terminate your access if we reasonably believe that:

  • You have violated these Terms.

  • Your account has been compromised.

  • You have used the Services fraudulently.

  • Your activity creates security or legal risk.

  • You have infringed another person’s rights.

  • You have attempted to bypass payment or access controls.

  • Suspension is required by law or an app-store provider.

  • NexApp or a relevant feature is being discontinued.

Where appropriate, we may give you notice and an opportunity to address the issue.

Termination may result in loss of access to:

  • Account information

  • Cloud-synchronized preferences

  • Saved mixes and routines

  • Premium features

  • Cloud-backed recordings

  • Other account content

Provisions relating to intellectual property, user content, payments, disclaimers, liability, dispute resolution, and governing law will survive termination where appropriate.

We may update these Terms to reflect changes in:

  • The Services

  • Subscription options

  • Technology

  • Security practices

  • Applicable law

  • App-store requirements

  • Business operations

The updated date will appear at the top of this page.

If a change materially affects your rights, we may provide additional notice through the app, website, or email. Your continued use after the updated Terms become effective constitutes acceptance of the revised Terms.

14. Governing Law and Contact

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law principles.

If mandatory consumer law in your country provides additional protections, those rights remain available to you.

Before starting formal legal proceedings, you agree to contact us and make a reasonable effort to resolve the dispute informally.

  • The email connected to your NexApp account

  • A description of the issue

  • Relevant purchase or transaction information

  • The resolution you are requesting

We will make reasonable efforts to respond within 30 days.

If a provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not assign or transfer these Terms without our written consent. We may transfer these Terms as part of a merger, acquisition, reorganization, or sale of the Services.

These Terms and the Privacy Policy form the entire agreement between you and NexApp regarding the Services.
